TERMS AND CONDITIONS

By signing below, “Customer” (designed on the signature block of this page) is confirming our arrangement for QNA Interactive LLC d/b/a Trivia NYC (the “Contractor”) to provide a recurring series of trivia events (the “Events”) and agreeing to be bound by the terms and conditions listed here.

CUSTOMER COOPERATION. The Customer agrees to actively support the Events by: a) providing a public address system, b) promoting the Events, c) providing prizes for the winning teams (typically bar credits), d) allowing Contractor to use Customer’s images, logos, trademarks, tradenames, and photos of the venue for promotion. Customer agrees to immediately communicate any questions or issues to the Contractor via email at hello@trivianyc.net.
FEES. The Customer agrees that the agreed recurring fee must be paid in advance of any Event and is non-refundable. The first payment will be made immediately upon agreeing to these terms & conditions. Future fees due to Contractor shall not be reduced for any cancellations of Events by the Customer
TERM. Contractor’s services are cancellable by either party with 30 days’ prior, written notice, subject to a minimum of three months of paid Events. Any unpaid fees due to Contractor shall be paid by Customer immediately upon notification of cancellation.
INDEPENDENT CONTRACTOR AND NON-SOLICITIATION. The Contractor is acting as an independent contractor in providing the Events, not as an employee. Customer will not employ, directly or indirectly, as an employee or contractor or vendor or partner or any other arrangement, any employee or contractor of the Contractor or anyone that has been an employee or contractor of the Contractor within 12 months.
INDEMNIFICATION. Customer acknowledges and agrees that Contractor’s services are solely those of an entertainment services provider, and that Contractor does not warrant in any way the any obligations to Customer that may arise. Customer agrees to indemnify and hold harmless Contractor and its affiliates, officers, employees, contractors, and agents from and against any and all losses, claims, damages, liabilities and expenses relating to or arising out of any Events.
GOVERNING LAW. All aspects of these terms & conditions and the relationship between Customer and Contractor shall be governed by and construed in accordance with the laws of the State of New York. Any dispute relating to these terms & conditions or between Customer and Contractor shall be submitted to arbitration in accordance with the commercial rules of the American Arbitration Association then in effect; provided, that damages awarded in arbitration shall be limited to actual losses in compensation, fees, and expenses. Damages awarded to Customer shall be limited to material breaches by Contractor and to cash fees received by Contractor from Customer after such material breach. Customer will pay or reimburse Contractor for all costs and expenses (including arbitration and court costs and attorney's fees) incurred by Contractor as a result of any claim, action or proceeding arising out of, or challenging the validity, or enforceability of, these terms & conditions or any provision hereof, but only if Contractor is the prevailing party with respect to such claim, action or proceeding, as determined by the arbitrator (or judge in the case that an action or proceeding is brought to enforce or confirm the results of an arbitration award). Each of Customer and Contractor (each on its or his own behalf and, to the extent permitted by applicable law, on behalf of any affiliates, employees, and agents) hereby irrevocably waives any right that it may have to a trial by jury in respect of any claim, counter-claim or action based on or arising out of this relationship between Customer and Contractor.
ENTIRE AGREEMENT. These terms & conditions contains the entire understanding of the parties relating to the agreement set forth herein and transactions contemplated hereby, superseding all prior agreements, understandings and negotiations with respect thereto. If any provision of these terms & conditions shall be determined to be invalid or unenforceable in any respect, such determination shall not affect such provision in any other respect or any other provision of these terms & conditions, which shall remain in full force and effect. These terms & conditions may be modified or amended only by a written instrument executed by all parties.
